A single family office (SFO) can use a Variable Capital Company (VCC) as the fund vehicle that holds the family's investments, while the SFO itself, a separate Singapore company, makes the investment decisions. The VCC adds variable capital, a member register that need not be public and, through an umbrella, segregated sub-funds, at the price of extra officers, filings and costs. The key open point is who may act as the VCC's manager. This page covers the VCC side; the wider family-office picture is on hnwsolution.com.sg.
Two entities, two roles
| Entity | Role | Main rulebook |
|---|---|---|
| SFO (Singapore-incorporated company) | Manages the family's assets: decisions, research, execution, staff | SFO licensing exemption under paragraph 5(1)(ba) of the Second Schedule to the SF(LCB) Regulations; MAS notification and annual return |
| VCC (fund vehicle) | Holds investments, issues and redeems shares, keeps segregated sub-funds if an umbrella | VCC Act 2018 (ACRA); MAS Notice VCC-N01; Income Tax Act if a 13O or 13U award is sought |
| Optional holding layer | Family trusts or companies owning the VCC shares | Their own governing laws |
Each entity has its own officers, bank account and filings.
The 2026 licensing exemption in brief
From 15 June 2026, qualifying SFOs have "a straight through class exemption from licensing" (MAS media release, 11 June 2026). The conditions, as summarised in MAS's FAQs (issued 12 June 2026, updated 31 July 2026):
| Point | MAS position |
|---|---|
| Whom it may manage for | Family members, including family trusts and wholly owned family corporations; charities funded exclusively by the family; key employees (executive directors, CEO, CFO and investment professionals) |
| Key-employee limits | Assets from non-family key employees up to 10% of AUM; a non-controlling stake of up to 10% |
| Family | Lineal descendants of a common ancestor, including current or former spouses, adopted children, stepchildren and in-laws; the ancestor no more than five generations above the youngest founding generation |
| Incorporation | "It must be incorporated in Singapore" |
| Banking | The SFO and the investment vehicles it manages must each hold an account with an MAS-licensed bank; foreign-incorporated vehicles may use a regulated bank in a FATF-consistent jurisdiction |
| Notification | New SFOs within 14 days of starting operations; existing SFOs by 15 June 2027 |
| Annual return | Within four months of the financial year end; no further extension |
The FAQs also state that MAS will generally not grant case-by-case exemptions. Points added in July 2026: an SFO cannot rely instead on the related-corporation exemption in paragraph 5(1)(b); departing key employees must divest within one year; and shareholding changes need not be notified under the exemption, although 13O/13U award terms differ. A service provider may file using its own Corppass, but the declaration must be signed by a family member providing the assets and an SFO director. As of end December 2025, more than 2,000 SFOs were receiving tax incentives (MAS written reply, 5 August 2026).
The manager question
Every VCC must appoint a manager. ACRA's prescribed form VCR1 is a manager's declaration that it is "a person mentioned in section 46(2)" of the VCC Act (ACRA prescribed forms, 1 April 2026). ACRA's guidance lists the permissible types as a licensed fund management company, a registered fund management company and an exempted financial institution such as a bank or insurer (Step 2, 29 January 2026). MAS repealed the registered fund management company regime on 1 August 2024, so that entry is historical.
The SFO class exemption sits in the SF(LCB) Regulations and is not named in ACRA's list. Whether an exempt SFO can itself be a VCC's manager is therefore a question for Singapore counsel before you structure. Two verified points are context, not answers:
- MAS defines an SFO fund, for the tax schemes, as a vehicle with assets primarily from one family "managed by an SFO that is exempted from licensing" (FDD Cir 05/2026, paragraph 4.1). That is a tax definition and does not settle the VCC Act question.
- The MAS SFO FAQs describe the exemption as "structure agnostic" but do not mention VCC managers.
| Arrangement | How it works | Points to check |
|---|---|---|
| Licensed third-party manager | A licensed fund management company manages the VCC; the family may sit on an investment committee | Within ACRA's list. Confirm with MAS and tax advisers whether the fund is assessed as an SFO fund or a non-SFO fund, and how the non-SFO third-party capital condition would apply |
| Family-owned licensed manager | The family sets up its own licensed fund management company | MAS expects up to 6 months to review complete applications; full licensing obligations apply (see fund-manager) |
| Exempt SFO as manager | The SFO relying on the class exemption manages the VCC | Not confirmed by an official source reviewed for this site |
Switching between a licensed manager and an SFO requires notifying MAS and a fresh award application (FDD Cir 05/2026, Annex 11).
13O and 13U conditions for SFO funds from 1 August 2026
For new awards approved on or after 1 August 2026, unless MAS notifies otherwise (FDD Cir 05/2026, paragraphs 4.2 to 4.5):
| Condition | 13O / 13OA | 13U |
|---|---|---|
| Qualifying IPs employed by the SFO managing or advising the fund | At least 2, including 1 non-family member; may apply with 1 but must reach 2 by the end of the first YA's basis period, or the award is revoked from commencement | At least 3, including 1 non-family; may apply with 2 |
| AUM in designated investments (DI) | S$20 million at application and at each basis-period end | S$50 million, same timing |
| Family operating businesses | Do not count towards the minimum AUM | Same |
| Minimum local spending (Table C) | S$200,000 if AUM in DI is below S$250 million; S$500,000 from S$250 million to below S$2 billion; S$1,000,000 at S$2 billion or more | Same |
| Capital deployment requirement (CDR) | Lower of 10% of AUM in DI or S$10 million in specified investments, from the end of the first full YA's basis period | Same, tested across the structure |
| Banking | Private banking account with an MAS-licensed financial institution at application and throughout each basis period | Met if one approved entity holds it |
Specified investments for the CDR are those listed on Approved Exchanges, those distributed by MAS-licensed institutions in Singapore, and non-listed Singapore operating companies with substantive local presence; some count at twice their value. Eligible donations and blended-finance grants can partly meet local spending, with grants counted at twice the amount. Existing SFO awards move to separate conditions from the YA whose basis period ends on or after 1 August 2026 (paragraph 4.6). These are conditions for an exemption granted by MAS on application; see tax and costs.
Umbrella VCCs for strategies or family branches
In an umbrella VCC, one sub-fund's assets cannot discharge another's liabilities, and each sub-fund is wound up separately (MOF note, 2 October 2018). Families use sub-funds to separate strategies (liquid, private markets, venture), branches or generations, or higher-risk sleeves. Limits:
- One award, one test. MAS's closed-end FAQ treats the umbrella as one legal entity for the award, with conditions summed across sub-funds (Annex 8A, FAQ 3); a shortfall affects the whole umbrella.
- Tax rules still run by sub-fund. IRAS quarantines each sub-fund's losses, and the VCC files one Form C (IRAS e-Tax Guide, April 2026).
- Segregation is statutory under Singapore law. How courts elsewhere would treat it is a question for counsel.
- Each sub-fund has a cost: S$400 to register with ACRA, plus administration and audit work.
- Governance must be written down: investment committee terms, family charter, and rules on subscriptions, redemptions and conflicts between branches.
When a VCC is more than the family needs
A VCC is optional for an SFO and may be disproportionate when:
- There is one portfolio with no need for sub-funds or variable capital, and a Singapore company would serve.
- Assets sit mainly in private-bank managed accounts and a fund wrapper adds cost without a governance gain.
- Succession is the main aim, where a trust may be the primary tool.
- The family cannot yet meet the IP, AUM and spending conditions it would rely on.
Professionals usually involved: funds counsel, a tax adviser, a fund administrator, an auditor, the company secretary or CSP, the eligible financial institution and the bank. Anyone planning to move to Singapore to run the VCC must seek approval from the Ministry of Manpower (ACRA); see hnwi.sg. A family office does not by itself confer any residence status. Applicable jurisdiction: Singapore. Family members' own tax position depends on their tax residence, including Hong Kong or mainland China; obtain advice in each jurisdiction. If you need the manager question and award conditions applied to your own family office, you can register your enquiry through the contact options on this site.
